1. Eligibility & Use

You must be at least 18 years old to use our services. By accessing or using any part of our platform, you agree to use the services for lawful purposes only.

2. Services Covered

Our offerings include turnkey publishing management, consulting, white-label ad-stack, syndication, dashboards, traffic widgets, newsletters, APIs, and software tools.

3. User Conduct

You may not copy, scrape, reverse-engineer, abuse, automate, or misuse any system, script, dashboard, or software provided by Publisher in a Box. Unauthorized use may result in immediate termination of access.

4. No Guarantee of Results

Traffic, revenue, platform approvals, and monetization outcomes are not guaranteed. Results vary based on content quality, niche, platform policies, and market conditions.

5. Intellectual Property

All Company systems, code, tools, dashboards, documentation, and content are owned by Publisher in a Box Inc. You may not reproduce, distribute, or create derivative works from our proprietary materials without written consent.

6. Payments

Timely payment is required through approved payment processors. Access to services may be suspended for non-payment. All fees are non-refundable unless otherwise stated in a separate agreement.

7. Third-Party Platforms

Our services depend on third-party platforms including Facebook, Google, ad exchanges, syndication platforms, and APIs. We have no control over their policies, availability, or changes, and are not responsible for actions taken by these platforms.

8. Limitation of Liability

Publisher in a Box is not liable for revenue loss, platform actions, algorithm changes, advertiser volatility, technical outages, indirect damages, or lost profits. Our total liability is limited to the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Publisher in a Box from any claims, damages, or expenses arising from your content, use of our services, or violations of these terms or any applicable laws.

10. Data Processing & Publisher Obligations

Publishers serve as Data Controllers; Publisher in a Box acts as Data Processor. Processing is limited to service delivery, analytics, and agreed-upon purposes.

11. Embedded Data Processing Addendum (DPA)

Our data processing activities are governed by the following terms:

• Roles: Publisher (Controller) / Publisher in a Box (Processor)
• Processing purposes: Ad delivery, revenue measurement, syndication, optimization, fraud prevention, verification, and reporting
• Security: Industry-standard technical and organizational measures
• Sub-processors: Vetted third-party processors used to deliver services
• International transfers: Appropriate safeguards in place for cross-border data transfers
• Data subject rights: We assist in fulfilling access, portability, and deletion requests
• Breach notification: Prompt notification in accordance with applicable law
• Termination: Data deleted upon contract termination per retention policies

12. Compliance Representations

You represent that your content, data collection practices, and advertising comply with all applicable regulations including GDPR, CPRA, CCPA, COPPA, advertising laws, and platform requirements.

13. Termination

We may suspend or terminate your access for violations of these terms, abuse, fraud, or non-payment. You may terminate your use of our services at any time by contacting us.

14. Governing Law

These terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the courts of Wyoming.
